1. Acceptance of Terms

By creating an account, accessing, or using QudaLive (the "App"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and QudaLive.

We reserve the right to modify these Terms at any time. Your continued use of the App after changes are posted constitutes acceptance of the modified Terms.

2. Eligibility

You must meet the following requirements to use QudaLive:

• You must be at least 13 years old (or the age of digital consent in your country)
• You must be at least 18 years old to broadcast live streams or send/receive virtual gifts
• You must provide accurate and complete registration information
• You must not be prohibited from using the App under applicable laws
• You must not have been previously banned from the App

By using the App, you represent and warrant that you meet all eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

• You may register using Google Sign-In or other provided methods
• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• One person or entity may not maintain more than one account

3.2 Account Security

• You must immediately notify us of any unauthorized use of your account
• We are not liable for any loss or damage arising from unauthorized account access
• You must not share your account with others
• You must not use another user's account without permission

4. User Conduct and Prohibited Activities

4.1 You Agree NOT To:

• Post, stream, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Share sexually explicit content, nudity, or pornographic material
• Engage in hate speech, discrimination, or harassment based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Violate any intellectual property rights, including copyrights, trademarks, or patents
• Engage in spam, phishing, or any form of solicitation
• Transmit viruses, malware, or any harmful code
• Attempt to gain unauthorized access to the App, other accounts, or computer systems
• Interfere with or disrupt the App or servers
• Use bots, scripts, or automated tools to access the App
• Collect or harvest user information without consent
• Engage in any illegal activities, including money laundering or fraud
• Promote or facilitate violence, self-harm, or dangerous activities
• Share content involving minors in inappropriate contexts
• Manipulate or exploit the virtual currency or gifting system
• Create multiple accounts to circumvent bans or restrictions

5. Live Streaming and Content

5.1 Content Ownership

• You retain ownership of content you create and share on QudaLive
• By posting content, you grant QudaLive a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your content
• This license continues even after you delete content or close your account, for content that has been shared or distributed

5.2 Content Responsibility

• You are solely responsible for all content you create, share, or broadcast
• You must have all necessary rights, licenses, and permissions for content you share
• You must not stream copyrighted music, videos, or other protected content without permission
• Live streams are public and can be viewed, recorded, or shared by other users

5.3 Content Moderation

• We reserve the right to remove any content that violates these Terms
• We may monitor, review, or screen content, but are not obligated to do so
• We do not endorse any user content or opinions expressed on the App
• Removal of content does not waive our right to take further action

6. Virtual Currency and Gifts

6.1 Virtual Items

• QudaLive offers virtual items including beans, coins, and gifts
• Virtual items have no real-world value and cannot be exchanged for cash
• Virtual items are non-transferable except through the App's gifting system
• We reserve the right to modify, suspend, or discontinue virtual items at any time

6.2 Purchases

• All purchases are final and non-refundable except as required by law
• Prices are subject to change without notice
• You are responsible for all charges incurred under your account
• Payment processing is handled by third-party providers (Stripe, etc.)

6.3 Withdrawals

• Hosts may withdraw earnings according to our withdrawal policies
• Minimum withdrawal amounts and processing times apply
• We reserve the right to verify identity before processing withdrawals
• Fraudulent activity may result in forfeiture of earnings

7. Intellectual Property Rights

7.1 QudaLive Property

The App, including its design, features, graphics, logos, and software, is owned by QudaLive and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe your copyright has been infringed, please contact us with:

• Description of the copyrighted work
• Location of the infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services

QudaLive integrates with third-party services including:

• Agora.io (video/audio streaming)
• Firebase (authentication and database)
• Google Sign-In (authentication)
• Google AdMob (advertising)
• Stripe (payment processing)

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services or their content.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

• The App will be uninterrupted, secure, or error-free
• Defects will be corrected
• The App is free of viruses or harmful components
• Results obtained from the App will be accurate or reliable

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUDALIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless QudaLive, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or conduct on the App

12. Account Termination

12.1 Termination by You

You may delete your account at any time through the Settings page. Upon deletion, your personal data will be removed within 30 days, subject to legal retention requirements.

12.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Harm to other users or the App
• Any other reason at our sole discretion

12.3 Effect of Termination

• You will lose access to your account and content
• Unused virtual currency will be forfeited
• Pending withdrawals may be cancelled
• Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or to participate in a class action lawsuit.

13.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the App.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in [Your Jurisdiction].

15. Age Restrictions and Parental Consent

• Users under 13 are not permitted to use the App
• Users between 13-17 must have parental consent
• Users under 18 cannot broadcast live streams or engage in monetary transactions
• Parents are responsible for monitoring their children's use of the App

16. Advertising

The App displays advertisements through Google AdMob. By using the App, you consent to viewing advertisements. We are not responsible for the content of third-party advertisements.

17. Changes to the App

We reserve the right to:

• Modify or discontinue any feature of the App
• Change pricing for virtual items
• Update the App's design or functionality
• Impose limits on certain features

We will provide notice of material changes when feasible, but are not obligated to do so.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QudaLive regarding the App and supersede all prior agreements and understandings.

20. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

21. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

22. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or government actions.

BY USING QUDALIVE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE APP.
